BuildCompass Terms of Service

1. What BuildCompass Is and Is Not

1.1 Purpose of the Service

BuildCompass is a pre-review risk, completeness, and compliance-analysis assistant for architectural plan sets and related project documents. The Service may analyze drawings, notes, schedules, and other inputs to surface potential issues, missing information, and likely compliance considerations.

1.2 Not a Code Authority; No Professional Advice

1.3 Outputs May Be Incomplete or Incorrect

The Service may produce results that are incomplete, incorrect, or not applicable to your project (including due to missing, unclear, or unlabeled information in the input documents). You agree not to rely on the Service as the sole basis for any design, compliance determination, or submission decision.

2. Eligibility and Account Registration

2.1 Business Use

The Service is intended for business and professional use. You must be at least 18 years old to use the Service.

2.2 Organization Accounts and Authorized Users

Accounts are created and managed under an organization ("Organization"). Users invited under an Organization are "Authorized Users." You are responsible for all activity that occurs under your Organization, including actions taken by Authorized Users.

2.3 Account Security

You must maintain the confidentiality of login credentials and promptly notify us of any unauthorized access or security incident related to your account.

2.4 Accurate Information

You agree to provide accurate, current, and complete information and keep it updated.

3. Subscriptions, Billing, and Taxes

3.1 Paid Service

Access to the production Service requires an active paid subscription unless we explicitly agree otherwise in writing (e.g., an enterprise agreement). Any demo experience (Section 6) is separate from production access.

3.2 Billing Provider

We use third-party payment processors (e.g., Stripe) to bill subscription fees. By subscribing, you agree to the payment processor's terms and authorize us (through the processor) to charge your selected payment method.

3.3 Automatic Renewal

Subscriptions renew automatically unless canceled before the renewal date.

3.4 Cancellation; No Refunds

You may cancel your subscription at any time through the billing portal (if available) or by contacting us. Cancellation stops future renewal charges. Except where required by law or explicitly stated in writing, fees are non-refundable, including for partial periods, unused usage, or unused time.

3.5 Changes to Plans and Pricing

We may modify plans, pricing, or included usage limits from time to time. If changes materially reduce your plan features, we will provide notice where required. Changes typically apply at renewal or as otherwise permitted.

3.6 Taxes

Fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes, duties, or government charges.

3.7 Nonpayment

If payment fails or your subscription becomes past due, we may suspend or restrict access to the Service until payment is resolved.

4. Customer Data and Privacy

4.1 Customer Data

"Customer Data" means the documents, files, drawings, text, and other information submitted to the Service by you or your Authorized Users, and outputs generated for you based on those inputs.

As between you and BuildCompass, you own Customer Data. You grant BuildCompass a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide the Service, maintain security, comply with law, and enforce these Terms.

4.2 Privacy Policy

Our handling of personal data is described in our Privacy Policy (posted on our website), which is incorporated by reference.

4.3 Security

We use reasonable administrative, technical, and organizational measures to protect Customer Data. No method of transmission or storage is 100% secure.

4.4 Confidentiality

We will treat Customer Data as confidential and will not disclose it to third parties except: (a) to subprocessors who help provide the Service; (b) as required by law; (c) to enforce these Terms; or (d) with your consent.

5. Acceptable Use

You agree not to (and not to allow others to):

• Use the Service for unlawful, harmful, or abusive purposes
• Upload content you do not have rights to use
• Attempt to probe, scan, or test vulnerabilities or bypass rate limits or access controls
• Reverse engineer or attempt to extract source code, models, or underlying prompts except as permitted by law
• Interfere with or disrupt the Service (including through automated scraping, botting, or excessive requests)
• Use the Service to develop a competing product or service
• Upload malware or any content designed to damage or disrupt systems

We may suspend or terminate accounts that violate these rules.

6. Demo and Pre-Release Features

6.1 Interactive Demo

We may offer a limited interactive demo that is not the full Service and may be rate limited, restricted, changed, or removed at any time. Demo availability does not create any obligation to provide free access.

6.2 Beta Features

We may label features as beta, preview, or experimental. Such features are provided "as is," may change, and may have reduced reliability.

7. Intellectual Property

7.1 Our IP

BuildCompass and its licensors own all rights, title, and interest in the Service, including software, workflows, templates, UI, and related intellectual property. Except for the limited rights granted to you under these Terms, no rights are granted.

7.2 Feedback

If you provide feedback or suggestions, you grant us the right to use it without restriction or compensation.

8. Third-Party Services

The Service may integrate with third-party services (e.g., payment processors, email providers, storage, analytics). We are not responsible for third-party services, and your use of them is governed by their terms.

9. Suspension and Termination

9.1 By You

You may stop using the Service at any time and may cancel your subscription as described above.

9.2 By Us

We may suspend or terminate access if you: (a) violate these Terms; (b) pose a security risk; (c) use the Service unlawfully; (d) fail to pay fees when due; or (e) attempt to bypass technical restrictions (including rate limits or access controls).

9.3 Effect of Termination

Upon termination, your right to use the Service ends. We may delete Customer Data after a reasonable period unless legally required to retain it. You are responsible for exporting data before termination where applicable.

You agree to indemnify and hold harmless BuildCompass and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) Customer Data; (b) your use of the Service; (c) your violation of these Terms; or (d) your violation of laws or third-party rights.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to their jurisdiction and venue.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email. Continued use after changes become effective constitutes acceptance.
